Closing a solvent Seychelles company by voluntary liquidation follows a defined sequence from preparation and appointment through to final dissolution. This article explains the documents, approvals, filings and completion steps an owner should expect.

When voluntary winding up is used

The process is commonly used after an investment or project has completed, a company has ceased operating, or an entity is no longer required within a group. It creates a documented record of the company’s closure and places responsibility for completion with the appointed liquidator.

Prepare the winding-up plan

The directors approve a written voluntary winding-up plan. The plan records the reason for the winding up, the company’s solvency, the proposed liquidator, the commencement date, the expected duration and the way in which the company’s affairs will be completed.

Before approving the plan, the directors should have current corporate and financial records and should understand the company’s filing position. The plan is then put to the members for approval within the statutory period.

Member approval and liquidator appointment

The members pass the resolution approving the voluntary winding up and the plan, and appoint one or more liquidators. The appointee must be an eligible individual, must consent to act and must not be disqualified under the Act.

The voluntary winding up commences when the members pass the required resolution. From that point the liquidator has custody and control of the company’s assets, while the directors remain in office but no longer exercise their former powers unless authorised by the liquidator or permitted by law.

Registry filing and public notice

The company’s registered agent certifies and files the member resolution and winding-up plan with the Registrar. The liquidator publishes notice of the appointment and commencement within 40 days in the Gazette or a newspaper in daily circulation in Seychelles and, where relevant, in the place of the company’s principal business outside Seychelles.

The liquidator’s work

The liquidator takes control of the winding up, confirms the company’s records, deals with the final administration and maintains the statement of account. Any remaining surplus is dealt with in accordance with the company’s constitutional documents and the approved plan.

Documents commonly required

The opening pack normally includes the certificate of incorporation, memorandum and articles, registers of directors and members, ownership information, recent accounts or management information, filing confirmations, the winding-up plan, the member resolution and the liquidator’s consent.

Timing

Allow approximately 8–12 weeks where the opening records and approvals are complete. The exact timetable includes preparation, the member resolution, registered agent filings, publication and the final dissolution process.

If property still has to be transferred, balances settled, filings brought up to date or records reconstructed, the timetable will depend on the work required.

Completion and dissolution

When the company’s affairs are fully wound up, the liquidator prepares the statutory statement of account and provides it to the members. The registered agent then files the approved completion notice. The Registrar records the dissolution in accordance with the Act.
